Associate General Counsel (Commercial Transactions)

Preferred Locations: Atlanta, GA or Indianapolis, IN.

Elevance Health supports a hybrid workplace model (virtual and office) with PulsePoint sites used for collaboration, community, and connection, with the minimum in-office commitment being 2-3 days in the office per week. The ideal candidate will live within 50 miles of one of our Elevance Health PulsePoint locations.

The Associate General Counsel is responsible for supporting sourcing and supply transactions, including technology and clinical (Medicare and Medicaid) agreements (e.g., inbound, and outbound technology and software licensing, and sourcing and supply agreements for technology goods and services, including development services, as-a-service offerings, and outsourcing services).

How you will make an impact:

Primary duties may include, but are not limited to:

  • Applies knowledge of one or more legal specialties with sound business acumen and knowledge of the business goals and objectives as they relate to the legal matter at hand.

  • Determines methods and procedures on new assignments and may coordinate legal projects.

  • Contributes to overall results of an SBU or CEE unit and/or department.

  • Uses professional legal concepts and principles to contribute to development of company’s concepts and principles.

  • May possess deep technical knowledge or broader scope of knowledge.

  • Provides instructions to junior members of the department and concise, timely briefings to senior level business and legal management.

  • Routinely works on complex problems in which analysis of situations and/or facts require an in-depth evaluation of various factors.

  • Serves as a resource for other attorneys and paralegals as well as business clients instructing and advising on technical and tactical issues.

  • Assesses and mitigates risk.

  • Reports to management any identified business exposure and associated risks as well as mitigation techniques being utilized.

Minimum Requirements :

  • Requires a JD, current license to practice law, and a minimum of 9 years of specific industry and/or technical legal experience post licensure; or any combination of education and experience, which would provide an equivalent background.

Preferred Skills, Capabilities and Experiences:

  • Experience managing outside counsel.

  • Experience as the primary attorney on major vendor/supplier transaction matters.

  • Excellent written and oral communication skills, particularly contract drafting and negotiation skills, and the ability to effectively present information to and advise senior management.

  • Ability to work well both independently and as part of a team with a manager.

  • Knowledge of Medicare and Medicaid preferred.

The successful candidate will:

  • Have a strong technical background, with experience in health care technology or the health care industry.

  • Have experience with a broad spectrum of transaction types, including vendor/supplier contracts, joint ventures, strategic alliances, and equity investments.

  • Be capable of handling complex, novel, high-value projects with broad organizational impact and moderate to high level of risk.

  • Have strong experience with legal issues related to clinical, cloud computing, machine learning and artificial intelligence, blockchain, data rights, HIT, open-source software and compliance with evolving privacy and information security laws and regulations as they pertain to transactional work.

  • Be able to work successfully with core partners in the company's Clinical, Businesses, Information Technology, Digital, and Procurement organizations, as well as liaising with groups such as Information Security, Tax, Finance and Corporate Development.

  • Provide advice and assistance to executives and management on corporate, legal and regulatory matters within the scope of the attorney’s job.

  • Supervise outside counsel and manage associated budgets as appropriate.

For candidates working in person or remotely in the below locations, the salary* range for this specific position is $165,040 to $297,072.

Locations: California; Colorado; Hawaii; Nevada; New York; Washington State; Jersey City, NJ.
